Terms and Conditions

All agreements made with this company are to be considered contracts and an email communication should be considered proof of this.

Prices are exclusive of VAT and inclusion of VAT where advertised.

Definitions

'Live Mode' means the date the website is available on the Client’s chosen domain.

A 'Project' is any work undertaken or service provided by Think Digital Consultancy for the Client on their request.

'Domain' is the website address as specified by the Client.

'Open Source Software' is software made freely available to anyone under the GNU General Public License (GPL).

'Hosting' is a yearly cost to keep a clients website activated online.

'Content' is both text and images that the Client requires on the website.

'mb' stands for megabytes and is a measure of storage space.

Think Digital Consultancy Terms & Conditions

E-mail will be the method of contact with regard to all communication. Although Think Digital Consultancy can be contacted by telephone and may also contact the Client by telephone at the Client's request, we will use e-mail as our method of communication.

Unless specified, Think Digital Consultancy may only commence work on a Project after receipt of a deposit on the quoted Project fee from the Client. The website may not be switched to Live Mode until the Clients remaining balance is paid in full.

The deposit paid to Think Digital Consultancy covers the cost of admin work, communication with Think Digital Consultancy, as well as sometimes when specified, domain registration fees. The deposit serves as a commitment to pay the full development cost.

Think Digital Consultancy will offer to supply hosting for key and associated files during the development as a security. We may also remove remote files that are not purchased using remote. Think Digital Consultancy do this at our own expenses but the Client remains liable to make payment for any billable hours incurred resulting from a specification presented to Think Digital Consultancy.

Think Digital Consultancy will endeavour to provide a reliable and professional service to the Client at all times and guarantee that the website Hosting will be available with in the hour, in the event of any technical failure.

Where asked to provide search engine optimization for a Client, Think Digital Consultancy do not guarantee any specific placement or high ranking on search engines, unless clearly specified. This will not form the part of any previously submitted specification and any Search Engine Optimization or Internet Marketing remains a separate product from any other development.

Think Digital Consultancy will provide the Client with an expected completion date for the Project if requested. Think Digital Consultancy will endeavour to meet any given deadline. Such a date may very when alterations are made at the request of the Client in the course of the project, or Think Digital Consultancy is waiting for content to be delivered.

Think Digital Consultancy will not set arbitrary limits on hosting storage space but must ensure that activity or usage by any Client does not affect the service of other Clients.

When there is a charge for a website using Open Source Software, the Client is paying for the installation time. Open Source Software is not owned by Think Digital Consultancy or the Client.

A deposit will be required if images or content are to be purchased by Think Digital Consultancy. Images are limited to no more than 20 images ( or 200 MB, which ever is smaller) dependent on the size of the project.

Where pages are used as a criteria for website size, we shall define a website page on our own terms as 1000 pixels by 1000 pixels.

When the domain names are to be registered to Think Digital Consultancy, the Client is the legal owner of the domain.

Where a Client has arranged to pay a daily or hourly rate charge as an alternative to a limited term contract, the Client will remain liable to make payment for any billable hours incurred until instructed to cease work. Think Digital Consultancy may provide an estimate for the time it will take to complete any instructed task after being submitted it in an e-mail, the Client will remain liable to make payment for any work hours billed until that point.

We reserve the right to remove content remotely where contracts are not settled. We retain ownership and resume ownership of software where fulfilment of contract by way of full payment or any other condition is not made.

The terms and conditions of this website are governed by the laws of England and Wales. Jurisdiction for any claims arising in respect of this website’s Content shall lie exclusively with the courts of England.
